Vendor Agreement – tshort.shop

This Vendor Agreement (“Agreement”) is entered into by and between tshort.shop (“Platform”) and the undersigned Vendor (“Vendor”). It governs the Vendor’s participation in the multivendor marketplace.

1. Vendor Registration & Approval

1.1 Vendor must complete the registration process and provide accurate business, tax, and banking details.
1.2 tshort.shop reserves the right to approve or reject Vendor applications at its sole discretion.

2. Product Listings

2.1 Vendor is responsible for creating accurate and truthful product listings, including:

Product descriptions, prices, and images
Compliance with applicable laws and intellectual property rights

2.2 Vendor may not list prohibited, counterfeit, or restricted items.

3. Order Fulfillment

3.1 Vendor must process and ship orders in a timely manner.
3.2 Vendor must provide tracking information where applicable.
3.3 Vendor bears full responsibility for product quality, safety, and legality.

4. Payments & Fees

4.1 Customers will pay through tshort.shop’s payment gateway.
4.2 tshort.shop will deduct a [X% commission fee] per transaction before remitting funds to Vendor.
4.3 Payouts will be made to Vendor’s designated account within [X days] after successful order completion.
4.4 Vendor is responsible for all taxes applicable to their sales.

5. Returns & Refunds

5.1 Vendor agrees to honor the Refund & Return Policy.
5.2 Vendor must accept returns of defective, incorrect, or misdescribed products.
5.3 Refund disputes will first be reviewed by Vendor; unresolved cases may be mediated by tshort.shop.

6. Vendor Conduct

Vendors must not:

Circumvent the Platform by transacting directly with Customers
Post false or misleading content
Manipulate reviews or ratings
Engage in unlawful or fraudulent conduct

7. Intellectual Property

7.1 Vendor grants tshort.shop a non-exclusive, royalty-free license to use product images, logos, and descriptions for marketing and promotion.
7.2 Vendor warrants that their listings do not infringe third-party intellectual property rights.

8. Liability & Indemnification

8.1 Vendor is solely liable for:

Product defects, injuries, or damages arising from their products
Misrepresentations in product listings
Non-compliance with laws or regulations

8.2 Vendor agrees to indemnify and hold harmless tshort.shop from claims, damages, or liabilities arising from Vendor’s activities.

9. Suspension & Termination

9.1 tshort.shop may suspend or terminate Vendor accounts for violations of this Agreement or Terms & Conditions.
9.2 Vendor may terminate this Agreement by providing written notice, subject to fulfilling outstanding orders and obligations.

10. Dispute Resolution

10.1 Disputes shall first be addressed by direct negotiation.
10.2 If unresolved, disputes will be subject to the jurisdiction of the courts of [Insert Jurisdiction].

11. Amendments

tshort.shop may amend this Agreement at any time. Continued use of the Platform constitutes Vendor’s acceptance of updated terms.
